Terms of Service

The agreement between you and Theta Advisory Inc. for the use of Blink.

1. Acceptance

These Terms govern your use of Blink and the related services (the “Service”) provided by Theta Advisory Inc. (“Theta”, “we”, “us”). By creating an account, subscribing, or using the Service you agree to them. If you are using the Service for an organization, you confirm you have authority to bind that organization.

The Service is still listed as PostLedger; the rename to Blink is in progress. Theta Advisory Inc. is the contracting party under these Terms.

2. The Service

  • Schedule calculation, governance and automation.
  • Journal entry creation and approval workflow.
  • Integration with third-party accounting systems (Xero, QuickBooks Online).
  • Excel and Word add-in interfaces, and a web portal.
  • Audit trail and compliance reporting.

3. Accounts

  • Registration information must be accurate and current.
  • You are responsible for keeping your credentials confidential, and for what happens under your account.
  • Tell us immediately if you believe your account has been used without your authorisation.
  • One account per person. Shared or generic credentials are not permitted, and defeat the separation-of-duties control the Service exists to enforce.

4. Subscription and billing

4.1 Plans

  • The Service is sold per seat, billed monthly in advance.
  • Prices are published in the application and may change with 30 days’ notice.
  • Add-on features may be billed separately.
  • All fees are in Canadian dollars unless stated otherwise, and are non-refundable except where the law requires otherwise.

4.2 Free trial

  • New subscriptions include a trial period as specified at checkout.
  • A valid payment method is required to start a trial. You are not charged until it ends, and you may cancel during it at no cost.

4.3 Payment

  • Payments are processed by Stripe, Inc. and are also subject to Stripe’s terms.
  • We do not receive or store your card number.

4.4 Cancellation

  • Cancel at any time from the Billing panel. Cancellation takes effect at the end of the current billing period.
  • After it takes effect, write operations (posting, approving, certifying) are disabled. Read and export access remain, so you can retrieve your records.

4.5 Overdue payment

  • If a payment fails, the subscription enters a grace period in which write operations may be restricted while we retry the payment method on file.
  • Accounts more than 30 days overdue may be suspended.

5. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose.
  • Attempt to reach the Service, other accounts, or connected systems without authorisation.
  • Interfere with or disrupt the Service or its infrastructure.
  • Reverse engineer, decompile or disassemble any part of the Service.
  • Transmit malware, spam or harmful content through it.
  • Exceed your seat count, or share credentials to work around seat limits.
  • Scrape or extract data beyond the provided API.

6. Your data

6.1 Ownership

  • You keep all ownership of the data you put into the Service (“Your Data”) — journal entries, schedule configurations, approval records, uploaded documents and audit trail entries.
  • We do not sell it, share it, or use it for any purpose other than providing the Service.
  • You grant us a limited licence to use Your Data solely to provide the Service.

6.2 Processing

  • Your Data is stored on Microsoft Azure in Canada, encrypted in transit and at rest.
  • Our full handling practices are set out in the Privacy Policy.

6.3 Portability

  • You can export Your Data at any time from the Service.
  • After termination we keep it for 90 days so you can retrieve it, then delete it permanently.

6.4 Third-party integrations

  • The Service connects to Xero and QuickBooks Online using credentials you authorise.
  • We access only the data and permissions you explicitly grant, store the connection as an encrypted token, and never store your third-party password.
  • You may disconnect an integration at any time, from either side.

7. Audit trail

  • The Service keeps an append-only audit log of actions taken within it.
  • Entries are cryptographically hashed so that tampering is detectable.
  • The audit trail records who did what and when, and is intended to serve as evidence in your own control testing.
  • Audit data is retained for the life of your account plus 90 days.

8. Intellectual property

  • The Service — software, design, documentation and branding — is owned by Theta Advisory Inc. and protected by copyright and other laws.
  • These Terms grant you no right to use our trademarks, logos or brand assets without written consent.

9. Limitation of liability

To the maximum extent permitted by law:

  • The Service is provided “as is”, without warranties of any kind, express or implied.
  • We do not warrant that it will be uninterrupted, error-free or secure.
  • We are not responsible for the accuracy of data received from third-party integrations (Xero, QuickBooks Online).
  • Our total liability for any claim arising from your use of the Service will not exceed the fees you paid in the twelve months before the claim.
  • We are not liable for indirect, incidental, special, consequential or punitive damages.

Blink assists with the preparation and posting of accounting entries. It does not provide accounting, audit or tax advice, and it does not replace your own review of the entries it produces.

10. Indemnification

You agree to indemnify and hold Theta Advisory Inc. harmless from claims, damages or expenses arising from your use of the Service, your breach of these Terms, your violation of a third party’s rights, or the data you submit through the Service.

11. Availability

  • We target 99.9% uptime but do not guarantee uninterrupted service.
  • Scheduled maintenance is announced in advance where possible.
  • We are not liable for downtime caused by factors outside our control, including third-party outages and force majeure.

12. Changes to these Terms

  • We may update these Terms from time to time.
  • Material changes are communicated by email or in-app notice at least 30 days before they take effect.
  • Continuing to use the Service after that constitutes acceptance.

13. Termination

  • Either party may terminate at any time.
  • We may suspend or terminate access for breach of these Terms.
  • Sections 6, 8, 9, 10 and 14 survive termination.

14. Governing law

These Terms are governed by the laws of the Province of Alberta, Canada, without regard to conflict of law principles. Disputes will be resolved in the courts of Alberta, Canada.
